The Bylaws are intended to define and facilitate the operations of the Board and do not in any way imply transcendence over either SUNY Policy 3000 or the May 1988 Guidelines for the Establishment and Conduct of the Campus Intercollegiate Athletics Board at State-operated Campuses of the State University of New York.

"President" shall refer to the President of Stony Brook University.
"Chair" shall refer to the chair of the Intercollegiate Athletics Board.
"Board" shall refer to the Intercollegiate Athletics Board.
"AD" shall refer to the Director of Athletics.
"IAB" shall refer to the Intercollegiate Athletics Board.

The Stony Brook University Intercollegiate Athletics Board (IAB) shall act in an advisory capacity to the Director of Athletics (AD) and the President of the University. The IAB is responsible to and charged by the President to report back, on an annual basis, on the functioning of the intercollegiate athletics program with respect to those activities defined in these Bylaws.

There shall be regular communications between the IAB and the University Senate, the Undergraduate Council, and the Student Athlete Advisory Council for provision of information to, and solicitation of input from, the university community.

The IAB and its subcommittees will provide feedback and advice to the Department of Athletics on matters concerning compliance functions, academic issues, gender equity, and budget development.

The membership of the IAB will consist of fifteen voting members and additional non-voting members who may be appointed as necessary to provide the expertise needed by the IAB to carry out its charge. The membership roster of the IAB shall be available to the public by way of posting on the IAB website.

Unless otherwise stated, all appointments to the IAB are made by the President. All members of the IAB serve at the pleasure of the President.

IV.a Voting members

  • Five (5) faculty members, one of whom is the Faculty Athletics Representative (FAR) and one of whom is appointed by and a member of the University Senate
  • Four (4) student members, including at least one male and one female member of an Athletics team, one of whom is a member of the SAAC, and at least one non-athlete
  • Four (4) administrators, one of whom is the President's Liason and one of whom is appointed by and a member of the Undergraduate Council
  • One (1) alumni member
  • One (1) head coach, who is selected by his or her peers

Administrator and faculty members shall be full-time employees as defined by regulations of the NCAA, (see NCAA Constitution, Article 6 – Institutional Control, Section as applicable; at least one faculty member shall be from an academic discipline other than physical education. An administrator is an individual employed by the institution as a full-time administrative staff member who holds an academic appointment, is directly responsible to the President or serves as a chief administrative official (e.g., admissions director, finance officer, or department head).

Student members shall be in good academic standing when appointed to the Board, and shall remain in good academic standing while serving as members. If a student Board member becomes a part-time student because a limited number of credits are needed to graduate, the student will be permitted to continue their service on the Board. The alumni member shall be the holder of a degree from Stony Brook University.

Appointments to the IAB are for three-year terms, except for students, who are appointed to two year terms.

Membership cycles are staggered, with no more than 5 appointments terminating in any year.

In the case of a resignation, a replacement will be appointed to serve out the original term.

IV.b Non-voting members
Non-voting members may be appointed to the IAB by the President or the Chair.

Non-voting members may include other personnel from the Department of Athletics, as well as representatives from the Office of Admissions, the Office of Financial Aid, the Office of the Registrar, Advancement, and the Alumni Association.

The Director of Athletics is an ex-officio, non-voting member of the IAB.

IV.c Chair and Vice-Chair
Upon recommendation of the IAB, the President will appoint a Chair for a three year term. The Chair must be a full-time faculty member or administrator. The Board will recommend a Vice-Chair, to serve during the same term as the Chair, subject to the approval of the President. The Vice-Chair must be a full-time faculty member or administrator.

The Chair is responsible for convening all meetings of the IAB. In the absence of the Chair, the Vice-Chair may convene meetings on the Chair’s behalf.

The Chair will work with the President or the President's Liason to ensure that all vacancies on the IAB are filled. Upon the completion of a three-year term, the Board will recommend to the President which voting member(s) to consider as Chair. If the Chair resigns, a replacement will be recommended by a majority vote of remaining Board members to serve for the remainder of the term, subject to the President’s approval.

The IAB will meet a minimum of three times each semester with additional meetings scheduled by the Chair as required to complete the Board's business in a timely fashion. In general, meetings of the IAB are held on a monthly basis during the academic term. The calendar of these meetings will be set at the beginning of each semester and made public on the web site.

V.a Rules
Meetings will be conducted according to Robert's Rules of Order.

V.b Agenda
The agenda includes review and approval of minutes from the previous meeting.

Each meeting also includes reports from the Director of Athletics, the Faculty Athletics Representative, and a representative of the Core Compliance Committee.

Requests for additional items to be included on the agenda may be made to the Chair prior to the meeting date in question.

A synopsis of the meetings will be reported on the IAB website.

V.c Quorum
A quorum will consist of seven voting members, including at least one faculty member, one administrator, and one student. A simple majority vote of those present will be required to pass a motion. If voting members are unable to be present, they may give their written proxy to another voting member and copy the Chair, or submit their vote to the Chair in writing.

V.d Executive Session
By majority vote, the IAB may convene in Executive Session to discuss sensitive matters. Only voting members of the IAB, and others specifically invited by the majority of the Board, may attend the Executive Session.

The IAB has two standing Subcommittees as defined below.

Ad-hoc committees may be created as needed.

Each subcommittee will consist of at least two voting members of the IAB. Subcommittee Chairs must be voting members of the IAB.

Subcommittee Chairs are responsible for convening their subcommittees, and for reporting to the IAB as appropriate.

Non-members of the IAB may serve as liaisons or consultants to these subcommittees as needed. Written reports are submitted by each subcommittee chair before the conclusion of the Spring term.

VI.a Core Compliance Committee
This subcommittee is responsible for reviewing compliance with all conference and NCAA rules. It will meet as needed to review all rules infractions and their consequences. It will review all relevant new NCAA legislation.

Membership includes the Compliance Officer and the University Counsel.

VI.b Student-Athlete Development Committee
This subcommittee is chaired by the FAR, and is responsible for monitoring the resources available for the student athletes, including tutors, the academic standing of the student athletes, and applicable graduation rates and APR statistics.

VI.c Other Committees
Other committees deemed necessary for the functioning of the IAB may be created by majority vote of the voting members of the IAB. These ad-hoc committees will have defined time limits.


VII.a Budget
The Director of Athletics will present a preliminary annual budget to the IAB for discussion and approval in sufficient time to allow input and possible modification prior to its being presented to the President.

VII.b Gender Equity
The IAB will review Gender Equity statistics on an annual basis, and advise the AD and President on this matter.

VII.c Standards
The Department of Athletics will inform the IAB of all relevant changes in standards imposed by the NCAA and our athletic conference(s). The IAB will provide advice as necessary to assist in maintaining compliance with these standards.

VII.d Reviews
The IAB will participate in reviews of the intercollegiate athletics program to insure that it maintains standards consistent with those of Stony Brook University, SUNY, our athletic conference(s), and any other relevant intercollegiate athletic association body.

VII.e Searches
At the discretion of the president, members of the IAB will participate in search committees for the positions of Director of Athletics, Assistant Director of Athletics, Director of Compliance, Director of Student-Athlete Development, and other senior level administrative positions within the Department of Athletics.

VII.f Liaison with the NCAA
The IAB will recommend to the President and AD individuals to serve as the institution's Faculty Athletics Representative.

VII.g Annual Report
The IAB will submit an annual report to the President at the conclusion of the academic year.

A vote of a simple majority of the voting IAB members shall be required to revise these Bylaws, subject to the final approval of the President. No amendments or revisions shall be voted on at the meeting at which theyare introduced.
